    Abstract: 本研究者為併購案中之人力資源主管,透過自身觀察,對國內某大型金融券商併購案中,其海外香港子公司合併之人力資源實務進行個案研究,檢視在併購前企業所實施的盡職調查、人力資源角色的作為與任務為何,檢視兩岸三地的併購勞工法律風險、文化風險、購併整合前後之人力資源政策、購併中產生的問題以及購併後對組織變革與文化整合的推動應行注意事項,及人力資源部門應如何建立自己關鍵的角色與任務給予公司及員工最大的支持,協助組織達成併購目標。
    寶來證券(臺灣證券交易所代號:2854)是過去曾經存在於台灣的大型證券公司,以金融創新商品及培育許多金融人才而聞名於台灣,轉投資寶來證券(香港)在香港地區為中型券商,擁有近3萬名機構和個人客戶,在香港400多家證券公司中市場排名B級前列,在台資在港證券商排名第二, 2007年被香港《資本才俊》雜誌評為『年度最佳券商』,寶來香港具備了在國際間與歐美系外資競爭的能力,更在香港市場建立了一定的廣泛知名度。
    本研究以個案研究法(case study method)及參與觀察法(observation methods)進行,從個案公司的併購流程中檢視公司併購政策與人力資源部門參與的實務作法,並藉由人力資源人員參與實際併購過程中,以直接觀察(direct observation)人力資源擔任的任務與角色;並以Galpin, Herndon (2007)所提出之併購整合作業模型為主,蒐集與分析個案內之公司相關之組織政策與人力資源實務及角色任務探討,並討論此個案併購中的整合程序與人力資源參與的角色與任務,清楚指出如何將人力資源部門納入完整的併購過程,其面臨的挑戰與實施作法分析。
    ;The investigator in charge of human resources mergers and acquisitions in the financial case, its overseas consolidated subsidiaries in Hong Kong, reviewed from due diligence to the pre-merger implemented solutions, the acted the role of human resources tasks, policies, cultural risk, merger integration, problem solved, and how to build the HR key roles and support to assist the organization in achieving acquisition targets.
    Polaris Securities (Taiwan Stock Exchange Code: 2854) was in the past Taiwan′s major securities firms, financial innovation well-known in Taiwan, Polaris Securities (Hong Kong) was a medium brokerage firm, with 30,000 institutional and individual clients, ranking the of grade B in HK 400 securities firms, was named "Year of the best brokerage firm by "Capital magazine”.
    The case study method and participant observation (observation methods) performed, review the company′s merger policies and HR practices in model of the merger integration of Galpin, Herndon (2007) model to discuss the roles and responsibilities in this case in process of the HR integrating acquisitions.
